As part of the registration process on FALLZ HOTELS™ website (“the Website”), we require users to certify their status as a hotel owner/hotel seller. By proceeding with registration as a hotel owner/hotel seller, I agree to the following terms:

1. I affirm that I am the lawful owner or authorized representative of the hotel(s) I intend to confidentially list on FALLZ HOTELS™.

2. I acknowledge that any listings or information I confidentially provide on FALLZ HOTELS™ regarding my hotel(s) are accurate, complete, up-to-date and in compliance with applicable laws and regulations. I understand that any false or misleading information provided during the registration process may result in the suspension or termination of my account.

3. I acknowledge that FALLZ HOTELS™ reserves the right to request proof of my ownership or authorization, such as property documents, ownership certificates, or any other documentation deemed necessary for verification purposes.

4. Identity and Ownership Verification:

I further acknowledge and agree to cooperate with FALLZ HOTELS™ to verify my identity and ownership of the hotel(s) I claim to own.

FALLZ HOTELS™ may request additional documentation or information, such as government-issued identification, business licenses, tax documents, utility bills, or other evidence to validate my identity and ownership. I understand that failure to provide satisfactory proof of identity and ownership may result in the denial or termination of my account and listings on the Website.

5. I acknowledge and agree that any information provided by FALLZ HOTELS™ must be treated with the highest level of confidentiality, and I commit not to share such information with unauthorized third parties. Failure to uphold this confidentiality may lead to termination of my membership on the FALLZ HOTELS™ website and could result in legal consequences.

6. I commit to conducting all transactions in a professional and ethical manner, adhering to industry standards and legal requirements.

7. I understand that FALLZ HOTELS™ is a platform that facilitates connections between hotel buyers and sellers, and it is my responsibility to conduct thorough due diligence on any property of interest.

8. Confidentiality Commitment:

I understand that FALLZ HOTELS™ is committed to maintaining the utmost confidentiality throughout the transaction process. The identities of all parties involved will be kept strictly confidential.

a. The hotel buyer, at their discretion, may choose to disclose their identity upon executing a Letter of Intent (LOI), which FALLZ HOTELS™ will present to the hotel owner/hotel seller (‘Seller’). At this point, the buyer’s identity will be shared with the Seller.

b. Similarly, the identity of the Seller will be held in the strictest confidence throughout the entirety of the process. It will only be revealed to the buyer once the Seller accepts the LOI, marking the commencement of negotiations for the purchase and sale of the hotel.

This protocol is in place to preserve the integrity and confidentiality of all parties involved on the FALLZ HOTELS™ platform.

9. Accuracy of Information:

a. By certifying my status as a hotel owner/hotel seller, I confirm that the information I provide during the registration process is accurate, true, and complete.

b. I am responsible for updating any changes to my status, contact information, or ownership details promptly.

10. I agree to abide by the terms and conditions outlined by FALLZ HOTELS™, as well as any additional agreements or policies set forth by the platform.

By proceeding with registration as a hotel owner/hotel seller on FALLZ HOTELS™, I acknowledge that I have read, understood the above terms, and agreed to comply with the terms and conditions stated in this certification statement.
