When a specific hotel aligns with a buyer’s criteria, we initiate confidential notification.
Upon execution of a Non-Disclosure Agreement (NDA) by the buyer, fundamental information about the hotel is disclosed. This includes the asking price, name, location, room count, acreage, and any pertinent financial data that the hotel seller has authorized FALLZ HOTELS™ to reveal at this stage.
Should the buyer express a desire for more comprehensive insights, particularly regarding financials, they have the option to provide an exclusive Letter of Intent (LOI). This document explicitly outlines the detailed information required for their pre-offer due diligence.
Subsequently, FALLZ HOTELS™ will present the LOI to the seller. The seller retains the discretion to fulfill the buyer’s request for additional information, provide partial details, or choose to decline the request. In any case, FALLZ HOTELS™ will promptly communicate the outcome and accordingly share the new information with the buyer.
Should the buyer elect to proceed with a heightened level of commitment, FALLZ HOTELS™ will facilitate the next phase of the transaction process—an agreement from the buyer to purchase the seller’s hotel.
Confidentiality Commitment
At FALLZ HOTELS™, we uphold confidentiality as a cornerstone of the entire transaction process. The identities of both the hotel owner/seller and the buyer will be held in strict confidence.
The buyer, at their discretion, may choose to disclose their identity upon executing a Letter of Intent (LOI).
At this point, the buyer’s identity will be shared with the hotel owner/seller.
Similarly, the identity of the seller will be held in the strictest confidence and safeguarded with the utmost care throughout the entirety of the process. It will only be disclosed to the buyer upon the Seller’s acceptance of the LOI, signifying the initiation of negotiations for the purchase and sale of the hotel.
This protocol is implemented to uphold the integrity and confidentiality of all parties involved on the FALLZ HOTELS platform.
